Dear Sirs

Fleet Air Arm Museum, Yeovilton, Somerset BA22 8HT ("the Museum")

We ("the Museum") write to confirm our agreement that, in consideration of you ("the Company") arranging to film and make recordings at the Museum for the purposes of the programme entitled _________ ("the Programme"), as described in the synopsis dated _________ and appended to this agreement:

1. We hereby grant to you and persons authorised by you the right during the Period to enter upon the Museum to film photograph and record and/or include in a live relay all or part of the interior the exterior and the contents of the Museum and for such purpose to bring on to and into the Museum such persons and equipment as you may deem appropriate

2. "The Period" shall mean (i)_____________ to _____________ and (ii) such other days or half days as we may mutually agree. During the period referred to in (i), the Museum will make reasonable efforts to enable the filming photographing and recording to proceed without interruption whilst retaining its basic need to service its normal visitors

3. During the Period we shall make available to you at the Museum the following facilities:

(a) access for all camera sound lighting and recording equipment and vehicles;

(b) adequate parking facilities for your equipment and the vehicles of your crew;

(c) electrical power water and toilet facilities

4. During the Period you undertake to follow all security and health and safety rules in force at the Museum and to supply where required by us Method Statements relating to your proposed activities

5. In this agreement the films photographs and recordings made by you at the Museum shall be referred to as "the Recordings"

6. We hereby grant you the right to incorporate the Recordings made at the Museum within the Programme and to broadcast or permit or authorise others to broadcast the Programme on any terrestrial or satellite channel throughout the world within a period of 5 years commencing on signature of this agreement All other rights of the Museum in respect of the Recordings are reserved. The right to incorporate the Recordings on CDs, DVDs or any other media for sale or distribution shall be the subject of a separate agreement where relevant

7. You shall refer to the Museum by its true name and shall include the following reference in all of such films, photographs, recordings or transmissions in which the Recordings are included whether or not they are included in the Programme: "The Fleet Air Arm Museum"

8. In full consideration for the rights and benefits hereby granted by us to you, you shall pay to us:

(a) in respect of the period referred to in Paragraph 2(i) the sum of ____ (together with VAT thereon if applicable) on ______ and _____ on ______ and

(b) in respect of any additional days or half days as referred to in Paragraph 2(ii) a sum calculated at the rate of _____ per half day (together with VAT thereon if applicable) for each such additional half day such sum to be payable as we may mutually agree

9. Any requirement by the Company to alter any part/s of the Museum shall be discussed and agreed in advance of the commencement of the Period and the alterations will be prepared to the agreed plan by Museum staff and the costs of such alterations reflected in the fee consideration

10. You shall on request provide to us before the first day of the Period and to the reasonable satisfaction of us or our insurance company evidence that you have effected sufficient insurance policies to cover your liabilities under this agreement

11. You hereby indemnify us against any damage which may be caused to any of our employees or members of the public or to the Museum including the building/s exhibit/s and/or objects by the act or omission of yourselves or your agents employees or invitees

12. You agree to deliver to us 2 copies of the completed and edited Programme in an agreed format for us to retain. You hereby grant to us the right to use these copies for marketing purposes for mutual benefit and to play to members of the public visiting the Museum on screens within the public galleries

13. This agreement shall be freely assignable by us and shall be interpreted in accordance with the laws of England and Wales

Kindly indicate your acceptance of the foregoing by signing and returning to us the enclosed duplicate of this letter.
